Terms of Service

1. Overview of Services

Vulkify ("we," "us," "our") provides an AI-powered property maintenance coordination platform (the "Service") that facilitates communication between property owners, tenants, and independent contractors. The Service includes a web-based dashboard, email notifications, SMS-based AI assistant (815-VULKIFY), and related tools.

Vulkify is a technology platform only. We are not a property management company, a general contractor, a licensed tradesperson, or a home repair provider. We do not perform, supervise, or guarantee any maintenance, repair, or construction work.

2. Eligibility and Account Registration

You must be at least 18 years of age and have the legal authority to enter into binding contracts to use the Service. By creating an account, you represent that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Subscription and Payment

Vulkify offers subscription plans on a monthly basis. By subscribing, you authorize Vulkify to charge your designated payment method on a recurring monthly basis at the applicable rate. All fees are stated in U.S. dollars.

Free Trial: New subscribers may be eligible for a 14-day free trial. Your payment method will be collected at the time of sign-up but will not be charged until the trial period ends. If you cancel before the trial expires, you will not be charged.

Automatic Renewal: Your subscription will automatically renew each month unless you cancel before the next billing date. You may cancel at any time through your account dashboard or by contacting support@vulkify.com.

Refund Policy: Subscription fees are non-refundable. If you cancel your subscription, you will retain access to the Service through the end of your current billing period.

Price Changes: We reserve the right to change pricing at any time. We will provide at least 30 days' notice of any price increase. Your continued use after the effective date constitutes acceptance of the new pricing.

4. No Warranty of Contractor Work

Vulkify connects property owners with independent third-party contractors. We do not employ, control, or supervise these contractors. We make no representations or warranties regarding the quality, safety, legality, timeliness, or completeness of any work performed by any contractor.

You acknowledge and agree that:

1. All contractors accessed through the Service are independent third parties, not employees, agents, or representatives of Vulkify.
2. You are solely responsible for evaluating, selecting, and approving any contractor and any estimate provided through the Service.
3. Vulkify does not verify contractor licenses, insurance, bonding, or credentials unless explicitly stated otherwise.
4. Any contract for work is solely between you and the contractor. Vulkify is not a party to any such agreement.
5. You are responsible for verifying that all work complies with applicable local building codes, regulations, and permit requirements.

5. AI-Powered Troubleshooting Disclaimer

The Service includes an AI-powered troubleshooting assistant accessible via SMS (815-VULKIFY) and web interface. This assistant provides general maintenance suggestions based on the information provided by the user.

You acknowledge and agree that:

1. AI-generated suggestions are for informational purposes only and do not constitute professional advice from a licensed contractor, plumber, electrician, HVAC technician, or any other tradesperson.
2. You assume all risk associated with following any AI-generated troubleshooting suggestion. If you are unsure about any suggestion, you should consult a licensed professional before proceeding.
3. Vulkify is not liable for any property damage, personal injury, or other harm resulting from following AI-generated troubleshooting advice.
4. For emergencies involving gas leaks, flooding, electrical hazards, fire, or any situation that poses an immediate risk to life or property, you should call 911 or your local emergency services immediately. Do not rely on the AI assistant for emergency situations.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VULKIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

1. Your use of or inability to use the Service;
2. Any work performed or not performed by any contractor connected through the Service;
3. Any property damage, personal injury, or other harm resulting from maintenance or repair work;
4. Any AI-generated troubleshooting suggestions or advice;
5. Any unauthorized access to or alteration of your data or communications;
6. Any interruption, suspension, or termination of the Service.

IN NO EVENT SHALL VULKIFY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO VULKIFY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vulkify and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

1. Your use of the Service;
2. Any violation of these Terms by you;
3. Any dispute between you and any contractor, tenant, or third party;
4. Any claim that your use of the Service caused damage to a third party;
5. Your violation of any applicable law, regulation, or third-party right.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VULKIFY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. VULKIFY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INFORMATION, OR RESULTS OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT.

9. User Responsibilities

As a user of the Service, you agree to:

1. Provide accurate and complete information when creating your account and submitting maintenance requests.
2. Comply with all applicable federal, state, and local laws and regulations, including landlord-tenant laws, building codes, and fair housing laws.
3. Maintain appropriate property insurance for your rental properties or home.
4. Exercise your own judgment when approving contractors and estimates.
5. Not use the Service for any unlawful, fraudulent, or unauthorized purpose.

10. Privacy and Data

By using the Service, you consent to the collection, use, and storage of your personal information as described in our Privacy Policy. This includes your name, email address, phone number, property addresses, and maintenance request data.

We may share your contact information with contractors you approve through the Service, and with tenants as necessary to facilitate the maintenance coordination process. We do not sell your personal information to third parties.

SMS messages sent to and from the 815-VULKIFY number may be processed by AI systems and stored for the purpose of providing the Service. Standard messaging rates may apply.

11. Intellectual Property

All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and design, are the exclusive property of Vulkify and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 4 through 8 (No Warranty, AI Disclaimer, Limitation of Liability, Indemnification, and Disclaimer of Warranties) shall survive any termination of these Terms.

You may terminate your account at any time by canceling your subscription and ceasing use of the Service.

13. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in the state where the account holder resides, or remotely via telephone or video conference.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after any modification constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vulkify regarding the Service and supersede all prior or contemporaneous agreements, representations, and understandings.
